Seller Agreement

This Seller Agreement ("Agreement") is entered into between you and AllCorals, LLC, a Delaware limited liability company ("AllCorals"). It supplements and is incorporated into the AllCorals Terms of Service and Privacy Policy. It applies to any User who creates a Listing on allcorals.com (a "Seller"). By publishing a Listing you accept this Agreement. In the event of conflict between this Agreement and the Terms of Service on seller-specific matters, this Agreement controls.

1. Seller Eligibility

To list on AllCorals you must:

• Be at least 18 years old and legally capable of entering binding contracts;
• Be the legal owner and the current physical possessor of every coral you list;
• Hold all permits, licenses, and registrations required by the laws of your country, state, or province for the trade in marine livestock and for any cross-border shipment;
• Not be located in a jurisdiction subject to U.S. or international sanctions, or otherwise prohibited from offering goods or services under applicable export-control laws.

2. Listing Requirements

Each Listing must include:

• An accurate species or genus identification (or a clear "unidentified" label where you are unsure);
• At least one clear photograph of the actual specimen taken within the previous 30 days; stock images and photos sourced from other sellers, social media, or websites are prohibited;
• An honest description of size, color, condition, and any defects;
• The asking price in the currency you operate in (U.S. dollars or any other supported currency);
• Your preferred payment methods and shipping or pickup arrangement;
• A disclosure of source — aquacultured (CITES source code "F" or "C"), maricultured, or wild-collected.

3. Photo Ownership & License

You represent and warrant that you own the photographs you upload or that you have a valid right to use and license them. By uploading photos to AllCorals you grant AllCorals a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, reproduce, resize, watermark, adapt, and use those photos to:

• Display your Listing on the Service;
• Generate AllCorals trading cards (typically 630×880 pixels) and related marketing assets featuring the specimen;
• Include the photo in aggregate marketplace promotional content (newsletters, social posts, search-result tiles);
• Train and evaluate our AI species classifier.

This license survives the removal of the Listing for the limited purpose of promotional retrospectives and AI model retention. You retain full copyright in your photographs and may use them anywhere else. Uploading a photograph that you do not have the right to use is grounds for immediate Listing removal and account suspension.

4. CITES, Wildlife & Regulatory Compliance

Most stony corals are listed in CITES Appendix II. Compliance with CITES, the U.S. Endangered Species Act, the U.S. Lacey Act, and any other wildlife, fisheries, customs, or import/export law that applies to you is the Seller's sole responsibility. By listing on AllCorals you confirm that:

• You hold any required permits, licenses, or documentation for wild-collected specimens;
• You will obtain CITES export and import permits from the CITES Management Authorities of the relevant countries before any cross-border shipment;
• Any aquacultured or maricultured specimen is properly documented under the appropriate CITES source code;
• You will not list, sell, or transfer any species protected under the laws of your jurisdiction or the buyer's jurisdiction without all required permits;
• Upon request, you will provide AllCorals with reasonable evidence of permits or documentation.

AllCorals does not independently verify permits or documentation and is not a party to any export, import, or domestic-trade compliance obligation. Failure to provide documentation upon a good-faith request will result in Listing removal and may lead to account suspension.

5. AI Species Identification — Your Independent Obligation

AllCorals provides AI-assisted species and trade-name suggestions with confidence scores. These suggestions are a convenience and not a guarantee of taxonomic accuracy. As the Seller you remain solely responsible for the species label applied to each Listing, and you warrant that the final label is accurate to the best of your knowledge. Reliance on an AI suggestion is not a defense to misrepresentation.

6. Pricing, Fees & Trial Phase

You set your own prices. During the current Trial Phase AllCorals charges no commission or listing fee. We may introduce fees in the future with at least 30 days' written notice delivered by email and on-platform banner. Any future fees will not apply retroactively, and you may delist any item before a fee takes effect at no cost.

AllCorals does not process payments. You receive payment directly from the Buyer using methods agreed between you (such as bank transfer, peer-to-peer payment apps, or cash on collection). AllCorals never holds Buyer funds or your sale proceeds.

7. Tax Responsibility

You are solely responsible for your own tax obligations, including income tax, sales tax, VAT, GST, customs duty, and any other tax or accounting obligation associated with your sales, in every jurisdiction where you are subject to tax. AllCorals does not issue tax invoices on your behalf, withhold tax, collect marketplace facilitator tax, or report your earnings to any tax authority. If a tax authority requires AllCorals to report seller information in the future (for example, under the U.S. Internal Revenue Code Form 1099-K rules or OECD model reporting), we will give Sellers notice and request the information needed to comply.

8. Live Arrival, Shipping & DOA Policy

Because AllCorals does not ship, all logistics are arranged directly between you and the Buyer. Each Listing should publish your live-arrival policy. At a minimum you should disclose:

• The shipping method or courier you use, and any restrictions (overnight versus standard service);
• Your dead-on-arrival ("DOA") evidence requirement — for example, a photograph of the unopened bag taken within 2–3 hours of delivery, with timestamp visible;
• The remedy you offer if DOA conditions are met (refund, replacement, or store credit);
• How losses or damage caused by the courier are handled.

You acknowledge that AllCorals provides no live-arrival guarantee on your behalf. Risk of loss for shipped livestock passes from you to the Buyer in accordance with the policy you publish and any agreement with the Buyer; in the absence of a clear agreement, risk passes upon handover to the carrier.

9. Communication & Fulfillment

You must respond to Buyer inquiries within 48 hours during the inquiry stage. After a sale is agreed you must:

• Confirm the order and the agreed shipping or pickup method in writing;
• Provide a tracking number where applicable;
• Notify the Buyer promptly if a shipment is delayed or cannot be fulfilled.

Repeated unresponsiveness or non-fulfillment after payment is grounds for Listing removal and account suspension. Consistently slow Sellers may have their Listings deprioritized in search and browse pages.

10. Cancellations & Refunds

Because AllCorals does not hold funds, all refunds and replacements are bilateral between you and the Buyer. You commit to honor the cancellation and refund terms you publish on your Listings in good faith. A pattern of refunds being refused contrary to your stated policy may result in suspension.

11. Prohibited Listings

The following Listings are prohibited and will be removed:

• Wild-collected corals without CITES documentation or the equivalent national wildlife permit;
• Any species protected under the U.S. Endangered Species Act, the Lacey Act, or any equivalent law in your or the buyer's jurisdiction, where you do not hold the required permits;
• Dyed, painted, or chemically-altered corals not clearly disclosed as such;
• Pest organisms (such as Aiptasia or Majanos) sold as desirable livestock;
• Stock photos misrepresented as the actual specimen;
• "Mystery boxes" or unlabeled livestock lots without species disclosure;
• Counterfeit, stolen, or otherwise illicit items.

12. Reviews & Reputation

Buyers may leave reviews of your Listings and your Seller profile. You may respond publicly and professionally. You may not:

• Solicit, write, or coordinate fake reviews;
• Offer incentives, discounts, or freebies in exchange for positive reviews or for removing negative ones;
• Retaliate against a Buyer for leaving a negative review;
• Use a separate account, friends, or staff to manipulate review counts.

Reviews may only be removed where they violate the Terms of Service (for example, hate speech, threats, doxxing, or clearly fraudulent content).

13. Dispute Handling

You agree to attempt to resolve Buyer disputes in good faith first. AllCorals may, in its sole discretion and as a courtesy, review chat logs, Listing screenshots, and other evidence to offer informal mediation, but AllCorals cannot force a financial outcome and is not obligated to mediate. Repeated unresolved disputes are reflected in your Seller reputation displayed on your profile and may affect your search ranking.

14. Suspension & Termination

AllCorals may, in its sole discretion and with or without prior notice, suspend or terminate your Seller privileges, remove Listings, or close your account for:

• Violations of this Agreement, the Terms of Service, or applicable law;
• CITES, Endangered Species Act, Lacey Act, or other wildlife or fisheries non-compliance;
• Repeated DOA complaints without good-faith resolution;
• Pattern of unresponsiveness, non-fulfillment, or Buyer disputes;
• Use of stolen photos or fraudulent Listings;
• Conduct that harms other Users or the integrity of the Service.

You may appeal a suspension by writing to [email protected]. Sections that by their nature should survive termination — including the Photo License, Tax Responsibility, Indemnification, and Governing Law — will survive.

15. Indemnification

You agree to indemnify, defend, and hold harmless AllCorals and its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (i) your Listings or Transactions; (ii) misidentification of species; (iii) unpermitted CITES trade, violation of the U.S. Endangered Species Act, the Lacey Act, or any equivalent wildlife, fisheries, customs, or import/export law that applies to you; (iv) infringement of any third-party right (including intellectual-property rights) in photos or other Content you upload; (v) any livestock-related claim by a Buyer (including DOA, disease transfer, or quality complaints); (vi) any tax, customs, or regulatory authority claim against you; and (vii) any off-platform payment dispute.

16. Changes to This Agreement

We may update this Agreement from time to time. Material changes will take effect no earlier than 30 days after notice is given by email and on-platform banner. Your continued listing activity after the effective date constitutes acceptance of the updated Agreement.

17. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or relating to this Agreement that cannot be resolved through good-faith negotiation will be subject to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
